NON-DISCLOSURE AGREEMENT (NDA) All Business/Company Rights, Property & Equipment Located Within RTWCHEF.COM, For the RTWCHEF LLC Official Company Website and Services

This Non-Disclosure Agreement, dated as of __JULY/2024__(the “Effective Date”) governs the disclosure of information by RTWCHEF LLC (the “Company”) to___ALL SITE VISITORS___ (the “Recipient”) for the purpose of exploring the official RTWCHEF LLC website (rtwchef.com)  and its social media affiliated links while maintaining a Non-disclosure agreement for all materials, graphics, photos, recipes, menu creation, logo and design….etc including all website material digital and physical.(the “Purpose”).

1. Confidential Information. As used herein, “Confidential Information” shall mean any and all technical and non-technical information that Company provides Recipient, whether in graphic, electronic, written or oral form, and including but not limited to patent applications and other filings, trade secrets, and any other proprietary information, as well as any ideas, techniques, sketches, drawings, works of authorship, models, inventions, know-how, processes, algorithms, software programs, documents, and formulae related to the current, future, and proposed products and services of Company, and also any information concerning any research, experimental work, development, design details and specifications, engineering, financial information, purchasing, customer lists, investors, employees, business and contractual relationships, business forecasts, sales and merchandising, or marketing plans of Company and any information Company provides regarding third parties. 
2. Non-Disclosure. Recipient agrees that at all times and notwithstanding any termination or expiration of this Agreement it will hold in strict confidence and not disclose to any third party any Confidential Information except as approved in writing in advance by Company, and will use the Confidential Information for no purpose other than the Purpose. Recipient shall only permit access to Confidential Information to those of its employees or authorized representatives having a need to know and who have signed confidentiality agreements or are otherwise bound by confidentiality obligations at least as restrictive as those contained herein.
3. Notice of Disclosure. Recipient shall immediately notify Company upon discovery of any loss or unauthorized disclosure of the Confidential Information. 
4. Use of Confidential Information. All Confidential Information is provided “AS IS,” without any warranty of any kind. Recipient recognizes and agrees that nothing contained in this Agreement shall be construed as granting it any property rights, by license or otherwise, to any Confidential Information, or to any invention or any patent, copyright, trademark, or other intellectual property right that has issued or that may issue, based on such Confidential Information. Recipient shall not make, have made, use or sell for any purpose any product or service or other item using, incorporating or derived from any Confidential Information, nor make any filings or registrations based on the receipt or use of the Confidential Information, absent separate written approval of Company.
5.  No Reproduction. Confidential Information shall not be reproduced in any form except as required to accomplish the intent of this Agreement. Any reproduction of any Confidential Information shall remain the property of Company and shall contain any and all confidential or proprietary notices or legends which appear on the original. 
6.  Term. This Agreement shall terminate three (1) year after the Effective Date, or may be terminated by either party at any time upon thirty (30) days written notice to the other party; provided, however, Recipient’s obligations under this Agreement shall survive termination of the Agreement between the parties and shall be binding upon the Recipient’s heirs, successors and assigns. Upon termination or expiration of the Agreement, or upon written request of Company, Recipient shall promptly return to the Company all documents and other tangible materials representing the Confidential Information and all copies thereof.
7. Miscellaneous. 

7.1. Amendments and Waivers. Any term of this Agreement may be amended or waived only with the written consent of the Company. 2 

7.2. Sole Agreement. The Agreement sets forth the complete, exclusive and final statement of the agreement between the parties as to the subject matter hereof and supersedes all prior and contemporaneous agreements, understandings, negotiations and discussions, whether oral or written, between the parties regarding such subject matter. 

7.3. Notices. Any notice required or permitted by this Agreement shall be in writing and shall be deemed sufficient upon delivery, when delivered personally or by overnight courier or sent by email or fax (upon customary confirmation of receipt), or forty-eight (48) hours after being deposited in the U.S. mail as certified or registered mail with postage prepaid, addressed to the party to be notified at such party’s address or fax number as set forth on the signature page or as subsequently modified by written notice. 

7.4. Choice of Law. The validity, interpretation, construction and performance of this Agreement shall be governed by the laws of the Commonwealth of Virginia, without giving effect to the principles of conflict of laws. 

7.5. Severability. If one or more provisions of this Agreement are held to be unenforceable under applicable law, the parties agree to renegotiate such provision in good faith. In the event that the parties cannot reach a mutually agreeable and enforceable replacement for such provision, then (i) such provision shall be excluded from this Agreement, (ii) the balance of the Agreement shall be interpreted as if such provision were so excluded and (iii) the balance of the Agreement shall be enforceable in accordance with its terms. 

7.6. Counterparts. This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together will constitute one and the same instrument.

7.7. Assignment. Recipient will not assign or transfer any rights or obligations under this Agreement without the prior written consent of Company. Any such assignment without prior consent shall be null and void from the beginning. Recipient shall not export, directly or indirectly, any technical data acquired from Company pursuant to this 3 Agreement or any product utilizing any such data to any country for which the U.S. Government or any agency thereof at the time of export requires an export license or other governmental approval without first obtaining such license or approval.

7.8. Dispute Resolution. Recipient agrees that upon Company’s request, all disputes arising hereunder shall be adjudicated in the state and federal courts having jurisdiction over disputes arising in Atlanta, GA, Los Angeles, CA and Recipient hereby agrees to consent to the personal jurisdiction of such courts. 

7.9. Advice of Counsel. RECIPIENT THAT, IN EXECUTING THIS AGREEMENT, SUCH PARTY HAS HAD THE OPPORTUNITY TO SEEK THE ADVICE OF INDEPENDENT LEGAL COUNSEL, AND HAS READ AND UNDERSTOOD ALL OF THE TERMS AND PROVISIONS OF THIS AGREEMENT. THIS AGREEMENT SHALL NOT BE CONSTRUED AGAINST ANY PARTY BY REASON OF THE DRAFTING OR PREPARATION HEREOF.

In Witness Whereof, the Recipient hereto has caused this Non-Disclosure Agreement to be executed as of the Effective Date JULY-2024 (Date of business entity formation)

This Privacy Policy (“Policy”) sets forth the privacy policies that apply to your use of www.rtwchef.com (the “Site”) and any services or products and any related software applications (collectively, the “Service”) offered and/or operated by RTWCHEF. This Policy describes the information practices for the Site and Service, including what type of information is gathered and tracked, how the information is used, and with whom the information is shared.
By accessing the Site or using the Service, or by otherwise providing us with your personal information, you are accepting the practices and policies described in this Policy. PLEASE REVIEW THIS POLICY AND THE TERMS OF USE FOR THIS SITE AND/OR SERVICE CAREFULLY. YOUR USE OF THE SITE AND/OR SERVICE SIGNIFIES YOUR AGREEMENT TO SUCH POLICY AND TERMS OF USE.
Personal Information That May Be Collected
When you sign up for or use the Site or Service, we may request a user to provide certain personal information, which may include: first and last name, postal address, e-mail address, user name, password, telephone number, credit/debit card number and expiration date (or other payment-method information) and other information about a specific individual that identifies the individual (“Personal Information”).
RTWCHEF may take photographs or videos at RTWCHEF events. RTWCHEF may publish photographs or videos which contain your voice and/or likeness, and RTWCHEF may use such photographs or videos, or any portion thereof, for advertising, marketing, publicity and promotional activities on its Site, social networking sites or third party websites such as Groupon who are promoting RTWCHEF'S products. You may request that any photographs or videos containing your likeness or voice be deleted by contacting us at rsvp@rtwchef.com.
Uses Made of the Information
(a) Limited Uses Identified. RTWCHEF uses your Personal Information to deliver the Services to you. For example, RTWCHEF uses Personal Information to reply to inquiries, handle complaints, to notify you of changes to the event for which you registered and to request your participation in surveys. We may also use Personal Information for the internal operational and administrative purposes of the Service. We may enter Personal Information into our contact management database, and may use such database to send you marketing materials and to contact you regarding your interest in other RTWCHEF products and services.
(b) Aggregate Information. We will also create statistical, aggregated data relating to our users and the Service for analytical purposes. Aggregated data is derived from Personal Information but in its aggregated form it does not relate to or identify any particular customer or individual or any specific user’s data. This data is used to understand our customer base and to develop, improve and market our services.
(c) Online Advertising. Some companies that help RTW CHEF deliver interactive on-line advertising, such as banner ads, may collect and use information about our customers to help us better understand the types of advertising or promotions that are most appealing to our customers. After it is collected the information is aggregated so it is not identifiable to a specific individual.
How Can You Opt Out of Use and Disclosure of Your Information?
If you would like your Personal Information removed from our mailing list or database, please contact us at rsvp@rtwchef.com. In the event of any such removal, RTWCHEF may retain copies of information for its archives.
Access and Updating of Information
If you would like to delete, correct or update any of your Personal Information that we may be storing, you may submit a request to us by sending an email to rsvp@rtwchef.com. Your email should include adequate details of your request.
Security
We use reasonable security precautions to protect the security and integrity of your Personal Information in accordance with this Policy and applicable law. However, no Internet transmission is completely secure, and we cannot guarantee that security breaches will not occur. Without limitation of the foregoing, we are not responsible for the actions of hackers and other unauthorized third parties that breach our reasonable security procedures.
Third Party Links
The Site may contain links to other websites. RTWCHEF is not responsible for the privacy practices or the content of those websites. Users should be aware of this when they leave the Site and review the privacy statements of each website they visit that collects personal information. This Policy applies solely to Personal Information collected by RTW CHEF.
Your California Privacy Rights (California Residents)
On September 27, 2013, California enacted A.B. 370, amending the California Online Privacy Protection Act to require website operators like us to disclose how we respond to “Do Not Track Signals”; and whether third parties collect personally identifiable information about users when they visit us.
(1) We do not track our customers over time and across third party websites to provide targeted advertising and therefore we do not monitor, recognize, or honor any opt-out or do not track mechanisms, including general web browser “Do Not Track” settings and/or signals.
(2) We do not authorize the collection of personally identifiable information from our users for third party use through advertising technologies without separate user consent. California Civil Code Section 1798.83 also permits our customers who are California residents to request certain information regarding our disclosure of Personal Information to third parties for their direct marketing purposes. To make such a request, please send an email to rsvp@rtwchef.com. Please note that we are only required to respond to one request per customer each year.
Disclosure of the Information
(a) RTWCHEF'S Disclosure of Personal Information: RTWCHEF will not disclose Personal Information to any third party except to our third party service providers that we engage to provide services to us (“Contractors”) who are bound by written obligations of confidentiality, or as described under “Permitted Disclosures” below.
(b) Social Media Plug-Ins and Sharing with Other Sites You May Authorize. Social media plug-ins of social networks, which may include but are not limited to Facebook, Twitter, Tumblr and Pinterest, may be integrated into our Site and Service. Where our Site or Service contains a plug-in to a social networking site, these are clearly marked (i.e. with a button). If you choose to click on one of these buttons or links, your browser will connect directly to the servers of the relevant social networking site. The social media network directly transmits the content of the plug-in to your browser. RTWCHEF assumes no responsibility or liability for the actions of such third parties with respect to their use of your information or otherwise. Accordingly, make sure you are aware of and comfortable with the privacy policies of any third parties that you authorize to gather information from RTWCHEF.
(c) Web Tracking Information: We disclose information obtained through the tracking technologies described below to Contractors, in order to analyze the performance of the Service and the behavior of users, and to operate and improve the Service.
(d) Aggregate Information: We may disclose aggregated data that does not contain Personal Information that identifies any particular user or person to any third parties, such as potential customers, business partners, advertisers, and funding sources, in order to describe our business and operations.
(e) Permitted Disclosures: Notwithstanding the foregoing, RTW CHEF reserves the right to disclose any information we collect in connection with the Service, without further notice to you (a) to any successor to RTW CHEF'S business as a result of any merger, acquisition or similar transaction; and (b) to any law enforcement or regulatory authority to the extent required by law or if, in our reasonable discretion, disclosure is necessary to investigate fraud or any threat to the safety of any individual, to protect RTW CHEF'S legal rights or to protect the rights of third parties.
Use of Computer Tracking Technologies
(a) No Tracking of Personal Information. The Site is not set up to track, collect or distribute Personal Information not entered by visitors. Through web site access logs RTW CHEF does collect clickstream data and HTTP protocol elements, which generate certain kinds of non-identifying site usage data, such as the number of hits and visits to our sites. This information is used for internal purposes by technical support staff for research and development, user analysis and business decision making, all of which improve our Service. The statistics garnered, which contain no Personal Information and cannot be used to gather such information, may also be provided to third parties.
(b) Use of Cookies. RTWCHEF, or our Contractors, collects non-identifiable and personal information through the use of various technologies, including “cookies”. A cookie is an alphanumeric identifier that a Web site can transfer to customer’s hard drive through customer’s browser. The cookie is then stored on customer’s computer as an anonymous tag that identifies the customer’s computer, but not the customer. Cookies may be sent by CocuSocial or its Contractors. Customer can set its browser to notify customer before a cookie is received, giving an opportunity to decide whether to accept the cookie. Customer may also set its browser to turn off cookies; however, some Web sites may not then work properly.
(c) Use of Web Beacon Technologies. RTWCHEF may also use Web beacon or other technologies to better tailor the Site to provide better customer service. If these technologies are in use, when a visitor accesses these pages of the Site, a non-identifiable notice of that visit is generated which may be processed by RTWCHEF or by its Contractors. Web beacons usually work in conjunction with cookies. If customer does not want cookie information to be associated with customer’s visits to these pages, customer can set its browser to turn off cookies; however, Web beacon and other technologies will still detect visits to these pages, but the notices they generate cannot be associated with other non-identifiable cookie information and are disregarded.
(d) Collection of Non-Identifiable Information. RTW CHEF may collect non-identifiable information from user visits to the Site in order to provide better customer service. Examples of such collecting include: traffic analysis, such as tracking of the domains from which users visit, or tracking numbers of visitors; measuring visitor activity on the Site; Web site and system administration; user analysis; and business decision making. Such information is sometimes known as “clickstream data.” RTWCHEF or its Contractors may use this data to analyze trends and statistics.
(e) Collection of Personal Information. RTWCHEF collects Personal Information from customer during a transaction. RTWCHEF may extract some Personal Information about that transaction in a non-identifiable format and combine it with other non-identifiable information, such as clickstream data. This information is used and analyzed only at an aggregate level (not at an individual level) to help RTWCHEF understand trends and patterns. This information is not reviewed at an individual level.
Guidelines Regarding Children
RTWCHEF is not designed or intended for use by persons under 21. At various places on the Site or Service, we may ask users for their age. Persons under 21 are expressly prohibited from submitting any Personal Information to us, and if we discover that we have inadvertently gathered any such information from a person under 21, we will take appropriate steps to delete it.
Changes to this Privacy Policy
RTWCHEF may modify or amend this Policy from time to time. You can determine when this Policy was last revised by referring to the “Last Updated” legend at the top of this page. Any changes to this Policy will become effective upon posting of the revised Policy on the Site. By continuing to use the Site or Service following such changes, you will be deemed to have agreed to such changes. If you do not agree with the terms of this Policy, as they may be modified from time to time, please do not continue using the Site or Service.
Applicable Law
RTWCHEF and its servers are located in the United States and are subject to the applicable state and federal laws of the United States. If you choose to access the Site and/or Service, you consent to the use and disclosure of information in accordance with this Policy and subject to such laws.
